Epsilon API 이용 약관

Epsilon은 Citrus Ad International Inc.의 권리 승계 회사로 계열사 Conversant LLC 및 기타 여러 Epsilon 법인과 함께 글로벌 사업을 운영하고 있는 광고 회사이며(이하 "Epsilon", "당사", "Epsilon의" 또는 "당사의"로 통칭). 프랑스에 본사를 둔 Publicis Groupe의 일원입니다.

귀하가 개발하거나 고객 또는 방문자에게 제공하는 소프트웨어 애플리케이션, 웹사이트, 도구, 서비스 또는 제품(귀하의 "사이트")을 포함하여 귀하가 EPSILON API에 액세스하거나 이를 사용하는 경우 귀하는 본 Epsilon API 약관 및 API 사용에 적용되는 관련 문서("API 약관")의 모든 내용을 준수하는 데 동의하는 것입니다. 또한 귀하는 본인, 귀하가 대표하거나 대리하는 회사 및 기타 법인을 대신하여 본 API 약관을 수락할 권한이 있음을 Epsilon에 진술하고 보증합니다. Epsilon은 언제든지 본 API 약관을 변경, 수정 또는 종료할 수 있습니다. 변경 또는 수정 이후에도 Epsilon API를 계속 사용하는 경우 귀하는 새로 적용된 API 약관에 동의한 것으로 간주됩니다. 귀하가 새로운 API 약관에 동의하지 않거나 Epsilon이 본 API 약관을 종료하는 경우 귀하는 Epsilon API 사용을 중단해야 합니다.

정의된 용어

1.1. "Epsilon API"는 다음을 의미합니다. (i) Epsilon이 제공하여 Epsilon 오퍼링을 이용할 수 있도록 하는 모든 형태의 머신 액세스 가능 애플리케이션 프로그래밍 인터페이스(모든 관련 도구, 요소, 구성 요소 및 실행 파일 포함) (ii) Epsilon 오퍼링과의 상호작용을 가능하게 하는 모든 Epsilon 샘플 코드, (iii) 귀하가 Epsilon API에 액세스할 수 있도록 Epsilon이 제공하는 설명서. Epsilon API에는 다음이 포함됩니다.
a. Epsilon 인증 API;
b. Epsilon 카탈로그 및 제품 API;
c. Epsilon 고객 데이터 API;
d. Epsilon 세그먼트 데이터 API;
e. Epsilon 주문 데이터 API;
f. Epsilon 필터 매핑 API;
g. Epsilon 교차 판매 카테고리 API;
h. Epsilon 추천 검색어 API;
i. Epsilon 제품 및 배너 생성 API;
j. Epsilon 캠페인 API;
k. Epsilon 결제 API;
l. Epsilon 팀 API;
m. Epsilon 대량 작업 API;
n. Epsilon 보고 API;
o. Epsilon 서비스와 관련된 정보 데이터에 액세스할 수 있도록 하는 기타 모든 Epsilon API.
1.2. "Epsilon 오퍼링"은 Epsilon이 제공하는 온라인 서비스를 의미하며 Epsilon의 경매 기반 광고 플랫폼 서비스를 포함합니다.
1.3. "데이터"는 Epsilon API를 통해 귀하에게 제공되는 모든 데이터 및 정보를 의미합니다.
1.4. “지식 재산권”은 컴퓨터 소프트웨어에 대한 권리를 포함한 저작권, 데이터베이스 권리, 상표, 상호, 도메인 이름, 특허권 및 발명(특허 가능 여부에 관계없이), 디자인 권리 및 전문 지식을 포함하는 모든 권리를 의미합니다.
1.5. "법률"이란 개인정보 보호법, 소비자 보호법, 데이터 보안법, 광고 관련 법규 및 규정, 부패 방지 및 뇌물 수수 금지법을 포함하되 이에 국한되지 않는 모든 관련 연방, 주 및 지방 법률, 규칙, 규정, 조례 및 규범을 의미합니다.

2. 범위 및 계정 등록

2.1. 본 API 약관은 귀하의 Epsilon API 사용에 적용되며 다음의 경우는 제외합니다.
a. 귀하가 Epsilon과 별도의 계약을 체결하였고 그 계약이 본 API 약관을 명시적으로 대체하며 특정 Epsilon API의 사용을 규율하는 경우 해당 계약이 우선 적용됩니다.
b. 본 약관의 섹션 1.a.에 명시된 API 이외의 다른 API에 액세스하는 경우 해당 API에 별도의 이용 약관("동반 약관")이 제시되어 있고 귀하가 이에 동의한 경우 해당 동반 약관이 해당 API 액세스에 적용됩니다.
2.2. Epsilon API에 액세스하고 이를 사용하기 위해서는 Epsilon에 계정을 등록해야 할 수 있습니다. 귀하는 계정 등록 시 제공한 정보가 진실하고 정확하며 최신임을 Epsilon에 진술하고 보증합니다. 귀하는 계정 등록 정보를 항상 최신 상태로 유지해야 합니다. 계정 등록이 성공적으로 완료되면 귀하에게 액세스 자격 증명이 제공됩니다. "액세스 자격증명"은 Epsilon API에 액세스하기 위해 필요한 보안 키, 비밀번호, 토큰 및 기타 자격 증명을 의미합니다. 액세스 자격 증명은 양도할 수 없으며 귀하가 기밀로 유지해야 합니다. 귀하의 액세스 자격 증명을 사용하여 발생하는 모든 활동은 귀하의 책임입니다.
2.3. Epsilon은 귀하의 계정 등록 정보를 확인할 권리를 보유하며 귀하는 이러한 확인과 관련하여 Epsilon의 합당한 요청에 협조해야 합니다. 또한 Epsilon은 등록 후 언제든지 어떠한 이유로든 단독 재량에 따라 Epsilon API, 데이터 및/또는 귀하의 계정에 대한 액세스를 일부 또는 전체를 제한할 권리를 보유합니다.

3. Epsilon API 라이선스 및 제한 사항.

3.1. Epsilon APIs License. Subject to your compliance with all the API Terms, Epsilon grants you a limited, non-exclusive, non-assignable, non-transferable, revocable license to use the Epsilon APIs in relation to your Site. You may use the Epsilon APIs only as expressly permitted in these API Terms. Violation of these API Terms may result in the suspension or termination of your use of the Epsilon APIs.
3.2. Epsilon APIs Guidelines. You will:
a. Use best efforts in limiting the number of calls made to the Epsilon APIs;
b. Ensure that usage of the Epsilon APIs is aligned with the declared purpose of your Site; and
c. Access and use the Epsilon APIs and Data only as permitted by, and on behalf of, the party that provided access to the Data being used.
3.3. Epsilon APIs Restrictions. You may NOT:
a. Use the Epsilon APIs in a way that could impair, harm or damage Epsilon, the Epsilon APIs, any Epsilon Offering, or anyone's use of the Epsilon APIs or any Epsilon Offerings;
b. Disclose or otherwise permit access to any Data to any person or entity other than the party that provided you with access to the particular Data being disclosed (except as required by law or legal process);
c. Use the Epsilon APIs to disrupt, interfere with, or attempt to gain unauthorized access to services, servers, devices, or networks connected to or which can be accessed via the Epsilon APIs;
d. Scrape, build databases or otherwise create copies of any Data accessed or obtained using the Epsilon APIs, except as necessary to enable an intended usage scenario for your Site;
e. Use an unreasonable amount of bandwidth, or adversely impact the stability of the Epsilon APIs or the behavior of other sites using the Epsilon APIs;
f. Not conduct (either directly or indirectly) any stress tests (or similar) of the Epsilon APIs;
g. Attempt to circumvent any limitations Epsilon sets on your use of the Epsilon APIs;
h. Use Epsilon APIs in any manner that works around any technical limitations of the Epsilon APIs or of the accessed Epsilon Offering, or reverse engineer, decompile or disassemble the Epsilon APIs, except and only to the extent that applicable law expressly permits, despite this limitation;
i. Use the Epsilon APIs, or any Data obtained using the Epsilon APIs, to identify, exploit or publicly disclose any potential security vulnerabilities;
j. Use the Epsilon APIs or allow any user to use the Site in a way that violates applicable law, including:
• Illegal activities, such as child pornography, gambling, piracy, violating copyright, trademark or other intellectual property laws.
• Intending to exploit minors in any way.
• Accessing or authorizing anyone to access the Epsilon APIs from an embargoed country as prohibited by the U.S. government.
• Threatening, stalking, defaming, defrauding, degrading, victimizing or intimidating anyone for any reason.
• Violating applicable privacy laws and regulations.

4. 보안.

4.1. You warrant that your Site has been developed in a manner so as to operate with the applicable Epsilon API(s) securely. Your network, operating system and the software of your servers, databases, and computer systems (collectively, "Systems") must be properly configured to securely operate your Site and store content collected through your Site (including the Epsilon API content and Data).
4.2. You shall use all reasonable legal, organizational, physical, administrative and technical measures, and security procedures to safeguard and ensure the security of the Data and to protect the Data from unauthorized access, disclosure, duplication, use, modification, or loss, including without limitation, any reasonable requirement as may be requested by Epsilon.
4.3. You will respond to any questions by Epsilon about your compliance with these API Terms.
4.4. In the event of a data breach by you resulting from any aspect of the Epsilon APIs involving your Site or any Data collected through your Site, you will promptly contact the Epsilon Data Privacy Officer ([email protected]) and provide details of the data breach. You agree to refrain from making public statements (e.g., press, blogs, social media, bulletin boards, etc.) without prior written and express permission from Epsilon in each instance as it relates to the Epsilon APIs.

5. 관련 데이터 보호법 준수.

(i) EU: 데이터 보호 지침(Directive 95/46/EC) 및 전자 프라이버시 지침(Directive 2002/58) 및 해당 지침을 시행하는 모든 국가별 법률 또는 일반 데이터 보호 규정(GDPR)(Regulations (EU) 2016/679); (ii) 미국: 연방거래위원회 규정, 아동 온라인 개인정보 보호법, 캘리포니아 소비자 개인정보 보호법 1998 등 개인정보 및 개인정보 보호와 관련된 모든 연방 및 주 법률; (iii) 호주: 1988년 개인정보 보호법 및 이를 적용하는 모든 관련 법률. 오해의 소지를 없애기 위해 관련 데이터 보호법은 해당 법률 또는 규정의 영토적 범위에 속하는 당사자에게만 적용됩니다.
5.2. 귀하가 귀하의 사이트 사용 또는 사이트와의 상호작용을 기반으로 최종 사용자의 식별 정보 또는 개인 데이터에 액세스할 수 있는 경우 귀하는 다음을 준수해야 합니다. (i) 해당 최종 사용자에게 법적으로 적절한 개인정보 처리 고지 제공, (ii) 최종 사용자에게 해당 정보의 수집, 사용, 전송 및 저장에 필요한 동의를 얻음, (iii) 최종 사용자가 허용한 목적으로만 해당 정보를 사용하고 다른 사람에게 액세스 및 사용 권한 부여, (iv) 해당 개인정보가 적용되는 개인정보 고지 및 관련 데이터 보호법에 따라 정보가 수집, 사용, 전송 및 저장되도록 보장.
5.3. Epsilon API를 통해 얻은 데이터에 대해 귀하는 다음을 준수해야 합니다.
a. 사용자가 귀하의 사이트를 이탈 또는 삭제, 계정을 종료 또는 포기하는 경우 모든 데이터를 삭제하는 것을 포함하여 적절한 보관 및 삭제 정책 구현.
b. 귀하가 수집하고 사용하는 데이터 및 정보에 관한 귀하의 개인정보 보호 관행을 설명하는 서면 고지문("귀하의 개인정보 처리 고지")을 작성하고 방문자가 열람할 수 있도록 유지하며 해당 고지문은 적용되는 Epsilon 개인정보 보호 정책과 동일하거나 그보다 강력한 보호 수준을 갖춤.
5.4. 본 계약의 어떠한 조항도 귀하와 Epsilon 간에 공동 컨트롤러 또는 프로세서-하위 프로세서 관계를 형성하는 것으로 해석되지 않습니다.

6. 지적 재산권.

각 당사자는 본 API 약관 시행 이전에 소유했던 지적 재산권의 단독 소유자입니다. Epsilon은 API와 관련된 모든 지적 재산권의 단독 소유자입니다. 명시적으로 언급된 경우를 제외하고 본 API 약관은 어떤 당사자의 지적 재산권과 관련하여 라이선스를 생성하지 않으며 특히 귀하에게 다른 Epsilon 계열사를 포함한 다른 당사자의 상표, 상호 또는 로고 사용 권한을 부여하지 않습니다. 귀하는 데이터에 대한 어떠한 권리도 취득할 수 없습니다.

7. Epsilon API 및 API 약관의 변경 사항.

WE MAY CHANGE OR DISCONTINUE THE AVAILABILITY OF SOME OR ALL OF THE EPSILON APIs AT ANY TIME FOR ANY REASON WITH OR WITHOUT NOTICE. Such changes may include, without limitation, removing or limiting access to specific API(s) as well as certain features and services, or setting and enforcing limits on your use of additions to the Epsilon APIs.
Any version of the Epsilon APIs designated as "preview", “test”, or "beta" ("Preview API"), may not work in the same way as a final version. We may change or not release a final or commercial version of a Preview API in our sole discretion.

8. 기밀 유지.

8.1. "기밀 정보"는 본 API 약관과 관련하여 당사자에 의해 또는 당사자를 위해 공개되는 모든 비공개 정보 및 Epsilon API 및 데이터를 포함하여 유사한 상황에서 합리적인 사람이 업계 표준 또는 신중한 비즈니스 판단에 따라 독점적 또는 기밀로 간주할 수 있는 모든 정보를 의미합니다. 기밀 정보에는 다음의 정보는 포함되지 않습니다(당사자가 기밀로 지정한 경우에도). (a) 본 API 약관을 위반하지 않고 일반에 공개된 정보; (b) 공개 당사자가 공개하기 전에 수신 당사자가 이미 보유하고 있었음을 문서로 입증할 수 있는 정보; (c) 기밀 유지 의무를 위반하지 않은 제3자로부터 제공받았으며 수신 당사자가 신탁 의무 또는 법적 의무를 위반한 사실을 알지 못한 정보; (d) 공개 당사자의 기밀 정보를 참고 또는 이에 의존하지 않고 수신 당사자가 독자적으로 개발했음을 문서로 입증할 수 있는 정보.
8.2. 본 API 약관에서 부여한 특정 권리를 제외하고 수신 당사자는 공개 당사자의 기밀 정보를 열람, 사용 또는 공개해서는 안 되며 공개 당사자의 기밀 정보를 보호함에 있어 자신의 유사한 기밀 정보 보호 시 사용되는 수준의 주의 의무 이상, 즉 합리적인 주의 의무보다 낮지 않은 수준의 의무를 다해야 합니다. 수신 당사자는 해당 기밀 정보에 액세스하는 자사 직원 및 계약자가 (a) 본 API 약관의 목적을 위해 해당 정보를 알아야 할 필요가 있는 자이며 (b) 본 API 약관에서 규정한 것과 동등하거나 그 이상으로 공개 당사자의 기밀 정보를 보호하는 제한 조건에 동의했음을 보장해야 합니다. 각 당사자는 자사 직원 및 계약자가 기밀을 위반할 경우 이에 대한 책임을 집니다.
8.3. 당사자는 적법하게 발부된 소환장, 법원 명령 또는 정부 기관의 요구에 따라 필요한 범위까지만 상대방의 기밀 정보를 공개할 수 있습니다. 단 해당 소환장, 법원 명령 또는 정부 기관의 요구에 대응하는 공개 당사자는 상대방이 보호 명령이나 기타 적절한 구제 조치를 신청할 수 있도록 즉시 상대방에게 통지 및/또는 그 외의 방법으로 해당 상황에서 가능한 한 공개 범위를 최소화하기 위해 노력해야 합니다.

9. 보증의 부인.

관련 법률이 허용하는 최대 한도 내에서 EPSILON API 및 데이터는 어떠한 종류의 보증도 없이 모든 결함을 포함한 상태로 "있는 그대로" 및 "사용 가능한 대로" 제공됩니다. EPSILON은 EPSILON API 및 귀하의 EPSILON API 사용과 관련하여 명시적, 묵시적 또는 법적 보증 및 조건을 포함하되 이에 국한되지 않는 모든 보증 및 조건을 부인합니다. 여기에는 상품성, 만족스러운 품질, 특정 목적에의 적합성, 정확성, 제3자 권리의 비침해 및 거래 과정, 사용 또는 거래 관행에서 발생하는 모든 보증이 포함됩니다. EPSILON은 EPSILON API 및 데이터 또는 그 사용의 결과물이나 제품 광고가 귀하의 요구 사항을 충족하거나 중단 없이 작동하거나 의도한 결과를 달성하거나 특정 소프트웨어, 시스템 또는 기타 서비스와 호환되거나 정상 작동하며 완전하거나 오류가 없을 것이라는 어떠한 형태의 보증도 하지 않습니다. 특히 유지보수, 업데이트, 시스템 또는 네트워크 장애로 인해 EPSILON API의 작동이 중단될 수 있습니다. Epsilon은 이러한 중단, 기능 오류 또는 데이터 손실이 발생하지 않을 것이라는 보증을 포함하여 이로 인해 발생하는 손해에 대해 모든 책임을 명시적으로 부인합니다. 관할권에 따라 묵시적 보증의 배제 또는 소비자의 관련 법적 권리에 대한 제한을 허용하지 않을 수 있으며 해당 법률이 적용되는 경우 위에서 언급한 배제 및 제한이 적용되지 않을 수 있습니다. 특정 법률은 보증 또는 묵시적 조건을 부여하거나 제외, 제한 또는 변경이 불가능한 의무를 부과할 수 있으며 이 경우 그러한 변경은 제한된 범위 내에서만 가능합니다. 본 API 약관은 모든 경우에 해당 법적 조항에 따라 해석되어야 합니다.

10. 면책.

귀하는 본 API 약관의 위반 또는 위반 혐의, Epsilon 또는 제3자의 지적 재산권 침해로 인해 발생하거나 발생했다고 주장되거나 이와 관련하여 제3자가 Epsilon 및 그 계열사를 상대로 제기하는 모든 청구 또는 소송 및 이에 따른 손해, 책임, 비용 및 경비, 합리적인 변호사 비용에 대해 방어, 무해하게 보호, 면책할 책임이 있습니다. 귀하는 Epsilon의 서면 동의 없이 어떠한 합의도 체결해서는 안 됩니다(Epsilon은 합리적 이유 없이 동의를 지연, 조건화, 보류할 수 없습니다).

11. 책임 제한.

11.1. EXCEPT FOR YOUR INDEMNIFICATION OBLIGATIONS TO EPSILON, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES IN CONNECTION WITH THESE API TERMS, EVEN IF SAID PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHERMORE, NEITHER PARTY SHALL BE LIABLE FOR ANY LOSS OF PROFIT, LOSS OF OR CORRUPTION TO DATA, DAMAGE TO REPUTATION OR GOODWILL OR LOSS OF OPPORTUNITY OR CONTRACT. To the maximum extent permitted by Law, Epsilon’s liability under these API Terms, for whatever cause, whether in contract or in tort, or otherwise, will be limited to direct damages and shall not exceed the amount of $100.00 United States Dollars.
11.2. No Injunctive Relief. In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Epsilon APIs, content or other material used or displayed through the current Epsilon website or successor site.
11.3. No Third-Party Beneficiaries. There are no third-party beneficiaries to these API Terms.

12. 해지.

12.1. Epsilon은 언제든지 어떠한 이유로든 단독 재량에 따라 본 API 약관, 본 약관에서 부여된 모든 권리 및/또는 귀하의 Epsilon API 사용 라이선스를 일시 중지하거나 즉시 종료할 수 있습니다. 귀하는 언제든지 Epsilon API에 대한 액세스를 중단함으로써 본 API 약관을 해지할 수 있습니다.
12.2. 계약이 해지되면 본 약관에 따라 부여된 모든 라이선스는 즉시 만료되며 귀하는 Epsilon API 사용을 즉시 중단해야 합니다. 어느 당사자도 본 API 약관의 해지로 발생하는 손해에 대해 상대방에게 책임을 지지 않습니다.

13. 일반 조항.

13.1. Applicable Law. If you reside in the United States, these API Terms shall be governed by and construed in accordance with the substantive laws of the State of Delaware without regard to conflict of laws, and all disputes arising under these API Terms shall be brought and resolved solely and exclusively in the State of Delaware. If you reside in any other country, the laws of that country apply. The United Nations Convention on Contracts for the International Sale of Goods, and any local laws implementing the Convention on Contracts for the International Sale of Goods, do not apply to these API Terms.
13.2. Support. Requests for support may be submitted via support.citrusad.com, or sent to [email protected]. Notwithstanding the foregoing, because the Epsilon APIs are provided "as is," we may not provide support services for them. You are solely responsible for the quality of your Site and providing support for your Site.
13.3. Assignment and Delegation. You may not assign or delegate any rights or obligations under these API Terms, including in connection with a change of control. Any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under these API Terms, fully or partially without notice to you.
13.4. Reservation of Rights. All rights not expressly granted herein are reserved by Epsilon. You acknowledge that all Intellectual Property Rights within the Epsilon APIs remain the property of Epsilon and nothing within these API Terms will act to transfer any of these Intellectual Property Rights to you.
13.5. Independent Contractors. The parties shall be independent contractors under these API Terms, and nothing in the API Terms will constitute either party as the employer, employee, agent, or representative of the other party, or the parties as joint venturers or partners for any purpose. Nothing in these API Terms shall permit either party to legally bind the other party to any other agreement. Nothing in these API Terms shall create any exclusivity between the parties in relation to its subject matter.
13.6. No Waiver. Either party's failure to act with respect to a breach of these API Terms does not waive either party's right to act with respect to that breach or subsequent similar or other breaches.
13.7. Survival. Sections of these API Terms that, by their terms, require performance after the termination or expiration of these API Terms will survive, such as, for example, the rights and requirements of Section 4 (Security).
13.8. Modifications. Epsilon may modify these API Terms at any time with or without individual notice to you. Any modifications will be effective upon your continued use of the Epsilon APIs.
13.9. Entire Agreement. These API Terms and any documents incorporated into these API Terms by reference, constitute the entire agreement between you and us regarding the Epsilon APIs and supersede all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these API Terms. If any provision of these API Terms is found to be illegal, void, or unenforceable, the unenforceable provision will be modified so as to render it enforceable to the maximum extent possible.
